Closed on the sale of a significant portion of the international business to Culligan International (Culligan) for USD $575 Million. Completing this transaction enables Primo Water to focus on North America where it has leadership, scale, and a significant addressable customer opportunity.
Acquired Primo Water Corporation, a leading provider of water dispensers, purified bottled water, and self-service refill drinking water in the United States and Canada. The completion of the acquisition of Primo combined with the sale of S&D Coffee and Tea to Westrock Coffee, accelerated the company’s transformation into a pure-play water solutions provider which included rebranding of the corporate name to Primo Water Corporation.
Closed on the sale of the S&D Coffee and Tea (“S&D”) business to Westrock Coffee Company, LLC for USD $405 million.
Closed on the sale of the soft drink concentrate production facility and RCI International division (“Cott Beverages LLC”) to Refresco for USD $50 million. After completing this transaction, Primo effectively divested of all the carbonated soft drinks business lines under its former traditional business.
Acquired The Mountain Valley Spring Company (“Mountain Valley”) for USD $78.5 million. Mountain Valley is a fast-growing American brand of spring and sparkling water and is one of the most recognized home and office distribution brands in the United States. It has been bottling in glass continuously since 1871, with one production facility in Hot Springs, Arkansas, and four protected and owned springs in the Ouachita Mountains with excess capacity to supply long-term demand.
Acquired Crystal Rock Holdings, Inc. (“Crystal Rock”), a 100-year-old direct-to-consumer home and office water, coffee, filtration and office supply service delivery business serving customers throughout New York and New England.
Closed on the sale of the traditional beverage manufacturing business to Refresco for USD $1.25 billion. The transaction included Cott’s North America, U.K. and Mexico businesses (excluding the RCI International division and its associated concentrate facility as well as the Aimia Foods division).
